Overview

Amudavalli has advised various international funds and corporate houses in their cross-border and domestic investment activities, as well as provided them legal and regulatory advice.

She focuses on private and public equity investments, M&A, tender offers, structured finance transactions, corporate governance issues, and advises listed companies on queries / notices from regulators. She has undertaken policy advocacy initiatives by regularly providing recommendations to SEBI on their existing / proposed regulations. Prior to joining Resolut Partners, Amudavalli was a senior member of the Corporate Transactions team at Nishith Desai Associates, focussing on public M&A transactions.

Representative Matters

  • Represented SeQuent Scientific Limited and its then promoters in the acquisition of SeQuent by The Carlyle Group, which triggered an open offer under SEBI regulations (~USD 230 mn)
  • Represented Goldman Sachs in multiple rounds of investments into Cytecare, a cancer specialist hospital
  • Represented UST in multiple investments from Temasek, whereby the company became a unicorn and provided an exit to certain existing shareholders
  • Represented Square Yards in its fund-raise from Brand Capital, and its merger with Azuro
  • Represented DHFL in the securitization of its loan portfolio to Oaktree Capital
  • Represented Zensar Technologies in its acquisition of digital engineering firm M3Bi
  • Represented Siemens Project Ventures (a promoter of Bangalore International Airport Limited) in two working capital facilities availed by BIAL, and in the sale of part of Siemens’ stake in BIAL to Fairfax
  • Represented Learn Capital in its maiden investments in India, into ed-tech startup Teachmint
  • Represented the promoters of a listed company in an application to SEBI for exemption from open offer obligations
  • Provided comprehensive legal advice to offshore investors on the concept and interpretation of ‘persons acting in concert’ under the SEBI Takeover regulations, and on delisting procedures
  • Advised listed companies and their promoters on legal notices and queries received by them from regulators
  • Represented the director of a listed company in a settlement proceeding against SEBI
  • Advised Investcorp on acquisition of 2 Education Infra Assets
