Overview

As a transaction lawyer, Raina’s practice focuses on private credit, public markets, PE/M&A and cross-border transactional tax. She works with large asset management funds, sovereign wealth funds and investors across a broad range of innovative investment structures and financing models, including pure-play equity, debt and mezzanine funding, with a sector focus on infrastructure (including roads, renewables and energy efficiency) and new-age real estate (including hospitals, schools and social infra).

Apart from her corporate practice, Raina has a strong focus on pro bono work and frequently volunteers her time to a range of not-for-profit organizations and training initiatives, including volunteering with legal aid cells, women centric organizations and charitable education ventures.

  • Advised Brookfield Asset Management on its investment of USD 135 mn in INDIS housing projects, a Hyderabad-based real estate firm
  • Advised Cintra INR Investments BV, a subsidiary of Ferrovial S.A., Europe’s largest infrastructure groups on their investment of ~USD 430 mn in IRB Infrastructure Developers Limited
  • Advised Glade Brook Capital on strategic and commercial due diligence issues with respect to their investment in Zepto, a Y-Combinator backed quick-commerce startup
  • Advised GIC Singapore on their investment in IRB Infrastructure Developers Limited
  • Advised Square Yards on its fundraise of USD 25 mn from ADM Capital in its offshore entity
  • Advised Alpine Capital on their private credit investment of USD 75 mn KreditBee
  • Advised Square Yards from a cross-border transactional tax structuring perspective for their offshore entities
  • Advised ADM Capital (~AUM of USD 2.4 bn) on their private credit investment into Enzen Global Solutions India
